Mixalyst Terms of Service
Last updated: November 3, 2026
These terms are an agreement between you and TBO Soft LLC, a California limited liability company ("Mixalyst", "we", "us"), about using the Mixalyst app and website. Our Privacy Policy explains how we handle information and is part of these terms. By creating an account or using Mixalyst, you agree to them. If you don't agree, please don't use Mixalyst.
1. What Mixalyst is
Mixalyst helps communities gather in person: inviting people, RSVPs, conversations, photos, volunteers, things to bring, tickets and community funds. Mixalyst is a tool. It does not organize, host, sponsor, supervise or guarantee any event. The people who run a community and its events are responsible for them.
2. Who can use Mixalyst
- You must be at least 18 years old to have a Mixalyst account. When you sign up we ask the year you were born.
- You must give us an email address you control, and keep your account to yourself. You're responsible for what happens under your account.
3. Communities and roles
- Anyone can start a community. The person who starts it is its owner. Owners can add other owners, make members organizers, set the community's permissions, remove members, and close (disband) the community.
- A community's content belongs to that community and its members, not to Mixalyst. We don't sell it, advertise against it, or use it to build or train AI.
- Owners and organizers run their community and its events, and they are responsible for them: what an event is, where and when it happens, who is invited, how it is run, and following the law that applies to it (venues, alcohol, permits, safety, accessibility and the like). Mixalyst is never the host, organizer or sponsor of an event, and does not check events, places or people.
- If you are the only owner of a community, you must add another owner or close it before you can delete your account.
4. Your content
- You own what you post — messages, photos, videos, audio, events and everything else.
- You give Mixalyst a free, non-exclusive permission to store, copy, process and display your content only as needed to run the service for the people you shared it with (for example, to show your photo to your community and make smaller versions of it for faster viewing). This permission ends when your content is removed, except for copies other members have already saved themselves, records a report or the law requires us to keep, and your messages that stay with a community as described below.
- We never use your content to build or train AI, and we never show it to advertisers.
- You confirm you have the right to share what you post, including photos of other people. Please be thoughtful about photos of people who might not want to be in them; if someone asks a community owner to take down a photo of them, the owner can do so.
- When you leave a community or delete your account, your messages stay with the community so its conversations make sense; you can choose to be shown as "Former Member" and to remove the photos, videos and audio you shared. See the Privacy Policy for details.
5. Community rules
Don't use Mixalyst to:
- break the law, or help someone else do so;
- harass, threaten, bully, or intimidate anyone, or promote hate or violence;
- share sexual content involving minors (we report it to the authorities), or sexual content of anyone without their consent;
- share private information about someone without their permission;
- impersonate someone, or mislead people about who you are;
- send spam, or use invitations to build mailing lists of people you don't actually know;
- sell tickets to events that don't exist, or raise money under false pretenses;
- run a raffle, lottery or other game of chance paid through Mixalyst;
- sell anything through Mixalyst that Stripe, our payment processor, does not allow (Stripe's list of restricted businesses applies to every sale);
- break, probe, overload, or get around the security of Mixalyst, or scrape it.
6. Handling problems
- Ignore. Any member can ignore another member. Their direct messages and notifications stop reaching you.
- Community owners moderate their community's boards and media: they can remove content (a marker shows something was removed) and handle requests to take down a photo. Owners can't edit anyone's words, and can't see direct messages.
- Report anything illegal or anything that breaks these rules: every message, photo or video, and member has a Report option. Reports go to Mixalyst's review queue; the person you report is never told who reported them. You can also write to [email protected]. Reports of sexual content involving a minor are handled first and reported to the National Center for Missing & Exploited Children as the law requires.
- We may remove content, or suspend or close accounts or communities, that break these terms or the law, or that put people at risk. If we do, we will email you to say what we did and why, unless the law or someone's safety stops us. If you think we got it wrong, reply to that email or write to [email protected], and a person will look at it again.
- Copyright. If you believe something on Mixalyst copies your work without permission, send a notice to our copyright agent at [email protected]. It must include what the law requires (17 U.S.C. §512(c)(3)): your signature; the work; where the copy is on Mixalyst; your contact details; a statement that you believe in good faith the use isn't authorized; and a statement, under penalty of perjury, that your notice is accurate and you may act for the owner. If your content was removed after a notice and you believe that was a mistake, you can send a counter-notice to the same address. We close the accounts of people who repeatedly infringe.
7. Payments
There are two different kinds of payment in Mixalyst, sold by two different sellers:
- Community sales — tickets to a community's events, bought online or at the door. The community is the seller. Its name is on your card statement. Mixalyst collects the payment for the community, as explained below.
- Mixalyst's own plans — the payments plan, storage plans and the owner plan. TBO Soft LLC is the seller. These are subscriptions a community owner buys from us.
Payments are processed by Stripe. By buying, selling or running a community fund you also agree to Stripe's terms.
7.1 Buying a ticket
- You buy a ticket from the community running the event, not from Mixalyst. The community is responsible for the event and for its refund decisions.
- The price you see is the whole price. No fees are added at checkout, and Mixalyst takes no part of it.
- Every refund is the full price you paid, and it goes back to the card you paid with. A refund can take a few days to go out while your payment finishes settling; you'll see when to expect it.
- If you can't go, change your RSVP. Your seat (or the seats you name, if you bought several) is released at once so someone else can have it. If someone buys a released seat, you are refunded for it automatically. Released seats are matched to new purchases in the order they were released. When you release a seat you can also ask for a refund even if nobody takes it; the community's owner decides that request. If you don't ask and nobody takes the seat, the money stays with the community.
- Asking for a refund. You can ask the owner for a refund for some or all of your tickets, and say which of your guests can't come. Only the community's owner can grant a refund.
- Passing a ticket on. You can ask the owner to move your ticket to another member of the community. No money moves; anything between you and that member is up to you.
- If an event is cancelled, every buyer is refunded in full automatically, as part of the cancellation. Ticket money for an event is held until the event has taken place, so the money for those refunds is there.
- A price change applies only to new purchases. If an event that was free becomes ticketed after people have RSVP'd, those RSVPs are reset and those people are asked to RSVP again.
- Problems with a charge? Please contact the community or [email protected] first; most problems are fixed quickly that way.
- Giving money to a community fund (contributions) is not offered yet. If we turn it on, we will update these terms first.
7.2 Selling tickets: for community owners
- Only a community's owners can make an event ticketed, cancel a paid event, or refund.
- A community needs the payments plan to sell tickets (section 7.3).
- Your community is the seller. When you sell tickets through Mixalyst, your community is the merchant of record for those sales: its name is on the buyer's card statement, and it is responsible for the event, the sale, and its refund decisions.
- You appoint us as your community's payment-collection agent. By setting up your community's payments, you appoint TBO Soft LLC as your community's limited agent for one purpose: collecting payments from buyers on the community's behalf, through Stripe. A buyer's payment through Mixalyst counts as payment to your community. The money goes into your community's own Stripe account (the community fund), never into an account of ours, and we never move it to another community or to anyone else.
- Stripe account. Each community's money is held in its own Stripe account. Stripe verifies the owner's identity and bank details on its own pages; Mixalyst never sees them. Owners agree to Stripe's Connected Account Agreement, which is part of these terms. The owner who sets up the community's payments accepts these terms for the community and is responsible for following them.
- What it costs. Mixalyst takes no part of any sale. Stripe's card processing on each sale, and Stripe's charge on each withdrawal to your bank, come out of the fund at exactly Stripe's cost. Mixalyst keeps none of it. The payments plan is Mixalyst's only charge, and we pay Stripe's monthly account charge out of it.
- Refund costs. Every refund returns the full price. Stripe doesn't return its card processing from the original sale, so every refund (an approved request, a released seat bought by someone else, or a cancelled event) costs your community that processing.
- Cancelling a paid event. When you cancel a paid event, every buyer is
refunded in full automatically, and before you confirm we show you how many
tickets will be refunded and how much card processing that leaves your
community to pay. You agree that your community pays the card processing
on a cancelled event's sales, collected in this order:
- from the community fund's other money that isn't held for an upcoming event, and the fund history will show it;
- if the fund can't cover it, from the owner's card on file, if the owner agreed to this when buying the payments plan;
- otherwise, new ticket sales pause (below) and the owner can pay what's left in the app, on the community fund page, with their card. We don't send invoices. Money that arrives in the fund later also goes toward it, so you never pay more than you owe.
- While your community owes us money, new ticket sales are paused. If the fund and the owner's card didn't cover what your community owes, no event can start selling tickets, just as when a payments plan lapses (section 7.3). Sales that are already open keep going, and refunds, payouts and reimbursements keep working. Paying what's owed ends the pause at once.
- Ticket money is held until the event happens, so refunds are always covered. Money from an event's ticket sales can't be paid out, or spent on reimbursements, until the event has taken place. This protects buyers: if the event is cancelled, the money to refund them is there. Other money in the fund can be used any time.
- Refunds while money is settling. If a refund can't go out yet because the payment is still settling, it waits and goes out by itself as soon as it can. Mixalyst does not pay refunds from its own money.
- Card disputes (chargebacks). If a buyer disputes a charge with their card company, Stripe takes the disputed amount and its dispute fee from Mixalyst first. You agree that we may recover a dispute your community loses, or accepts, from the community fund, by taking back that payment from the fund, and the fund history will show it. If the fund can't cover it at the time, we may take it from money that arrives in the fund later. We may answer a dispute for your community using the sale's records (the receipt, the event and the check-in).
- Reimbursements. Members can ask to be reimbursed for event costs; an owner approves. The owner pays the person outside Mixalyst and the fund records it.
- Cash received outside Mixalyst can be recorded in the fund's books. Those records are bookkeeping only.
- Long-held money. Money can't sit in a fund forever: before Stripe's two-year holding limit, we warn the owner and move the oldest money to the community's linked bank account.
- Taxes. Each community is responsible for its own taxes, including any tax on its ticket sales. US law requires a community's payments to be reported to the IRS and some states on Form 1099-K; Mixalyst files these through Stripe. Mixalyst does not give tax advice.
- Mixalyst is not a bank. Money in a community fund is held by Stripe, is not FDIC-insured, and earns no interest.
7.3 Mixalyst's plans: for community owners
These are sold by TBO Soft LLC, which is the seller and merchant of record for them.
| Plan | What it does | Price |
|---|---|---|
| Payments plan | Lets a community sell tickets | $10 a month, or $100 a year |
| Storage plans | More room for a community's photos, videos and audio (section 8) | Shown on the plan page, monthly or yearly |
| Owner plan | Lets one person own more than 5 communities | $10 a month (or $100 a year) for up to 25; more above that, as shown |
A yearly plan costs 10 times the monthly price.
- Plans are bought on the website, with the owner's own card, saved by Stripe. Mixalyst never sees the card number. For the payments plan and storage plans, the owner can choose to pay from the community fund when it has enough money; each charge then comes wholly from the fund, or, if the fund can't cover it, wholly from the card.
- Plans renew automatically at the end of each month or year, at the price shown when you bought it, until you cancel. We show these renewal terms next to the button and ask you to agree to them before we charge you, and we email you a receipt that repeats them. For a yearly plan, we email you a reminder before it renews.
- Cancel any time, online, on the page where you bought the plan. Nobody asks you why. A cancelled plan runs to the end of the period you paid for; we don't refund part of a period.
- Price changes. If we change a plan's price, we email you 7 to 30 days before the new price applies to you, and you can cancel before then.
- If a payments plan lapses (a payment fails, or the plan is cancelled):
- no event can start selling tickets;
- ticket sales that are already open keep going, and refunds, payouts and reimbursements of money already in the fund keep working;
- you agree that we may take overdue plan fees from the community fund, before any payout or reimbursement, and the fund history will show it;
- while any of the community's events is still selling tickets, the plan's fee keeps adding up each month or year, paid or not. Once nothing is selling, the plan is paused: nothing more adds up, and no new ticket sales can start;
- paying what's owed plus the next month or year brings everything back.
- If a storage plan lapses, see section 8. If an owner plan lapses, you have 7 days to fix the payment; after that you can't start or take on more communities until you're back to 5 or the plan restarts. Your existing communities and their members are never affected.
8. Photo storage
Each community can store up to 10 GB of photos, videos and audio for free today. We may change the free amount with notice, but a change never deletes anything already stored. A community can pay for more with a storage plan (section 7.3). If a paid storage plan lapses, nothing is hidden or deleted — after a 7-day grace period, everything already stored stays viewable and downloadable; the community just can't add more until it pays again or makes room.
9. Releases of liability (waivers)
An event's organizer may require attendees to sign a release of liability before attending. That release is an agreement between the attendee and the community, not Mixalyst. Mixalyst is not a party to it. Mixalyst only records the signature and sends each signer a copy. Mixalyst does not write, review or approve any release, supplies no release text, and makes no promise that a release will hold up. Whether a release is valid depends on the law where the event happens, and some states don't enforce them. The organizer is responsible for the release's words.
10. Real-world events
Events happen in the real world, and Mixalyst isn't there. You take part in events at your own risk. Mixalyst does not host, run, inspect or supervise events, and does not check the people, places or activities involved. Any claim about something that happened at an event is between you and the people who ran it or took part.
11. Ending things
- You can stop using Mixalyst any time and delete your account in the app (Account → Delete account).
- An owner can close (disband) a community. For 30 days they can download its basic records or cancel; after that, nobody can see its content. An owner can also erase it straight away, once nothing is owed.
- We may suspend or close an account or community that breaks these terms, puts people at risk, or where the law requires it (section 6 says how we tell you). If we stop offering Mixalyst altogether, we will give at least 60 days' notice so communities can save their records and the money in every community fund can be paid out to the community's bank.
- Sections that by their nature should survive (content you've shared with a community, money owed, disclaimers, liability, disputes) survive.
12. Disclaimers
Mixalyst is provided "as is" and "as available." We work hard to keep it running and correct, but we don't promise it will always be available, free of errors, or right for your needs. We don't check, and aren't responsible for, what members and communities post, or for any event. To the extent the law allows, we give no warranties beyond what these terms say, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
13. Limits on our liability
To the extent the law allows:
- Mixalyst is not liable for anything that happens at an event, for what members or communities post or do, or for any indirect, incidental, special or consequential loss (such as lost profits or lost data).
- Our total liability to you for any claim about Mixalyst is limited to the greater of what you paid Mixalyst in the 12 months before the claim, or $100.
- Money in your community fund is your community's, not ours; this limit never lets us keep it.
Nothing in these terms limits liability for our own fraud, willful injury, or violation of law, or anything else the law doesn't allow us to limit.
14. Indemnity
If someone makes a claim against Mixalyst because of an event you or your community ran, a release your community used, content you posted, or your breaking these terms or the law, you agree to cover Mixalyst's reasonable costs of that claim, including legal fees. We'll tell you about the claim and let you help respond to it.
15. Disputes and governing law
- These terms are governed by the laws of the State of California, and of the United States where they apply.
- Talk to us first. Before either of us files a claim, the one with the problem sends the other a written notice: your name, what happened and what you want. Send yours to [email protected]; we'll send ours to your account's email address. We then both try, in good faith, to resolve it informally for 30 days.
- Small claims. Either of us may take a claim to small claims court if it qualifies.
- Otherwise, courts in California. If it isn't resolved, any other claim goes to the state courts of the California county where TBO Soft LLC has its principal office, or the federal court for the district that includes that county, and we both agree to those courts. There is no arbitration.
16. App stores
If you got Mixalyst from Apple's App Store or Google Play, these terms are between you and TBO Soft LLC, not Apple or Google. Your licence to use the app from Apple's App Store is Apple's standard licence agreement (EULA), together with these terms. Also, for the app from Apple:
- TBO Soft LLC, not Apple, is responsible for the app and its content, and for any support and maintenance. Apple has no duty to provide either.
- If the app fails to meet a warranty that applies, you can tell Apple, and Apple will refund what you paid for the app (Mixalyst is free, so that is nothing). Apple has no other warranty duty for the app.
- TBO Soft LLC, not Apple, handles any claim about the app — product liability, failure to meet a legal or regulatory requirement, consumer protection or privacy law, and any claim that the app infringes someone's intellectual property.
- You confirm you are not in a country under a US government embargo, and are not on a US government list of prohibited or restricted parties.
- You must also follow the terms of your wireless carrier and any other third party when you use the app.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
Google Play's terms apply to getting the app from Google Play.
17. Changes to these terms
For a minor change, the new terms apply if you keep using Mixalyst. For a change that matters, we will ask you to agree in the app before you continue. We record which version of these terms you accepted, and when.
